Seller's Terms and Conditions
By registering as a Seller on the Piyesa platform (“Platform”), you agree to abide by the following
terms and conditions (“Seller Terms”). These Seller Terms are intended to be in compliance with the
laws of the Republic of the Philippines and are written in a formal style as if by a Philippine
attorney. Please read these terms carefully before using the Platform as a seller.
1. Eligibility and Registration Requirements
Authorized Business Sellers Only: The Platform is open only to duly registered
companies or business entities. Individual or unregistered sellers are not
allowed. As part of the registration process, you (the “Seller”) must provide
proof of legitimate business status, such as a valid business permit or company
registration documents, to verify that you are a registered company. The Platform
reserves the right to review, verify, and approve all seller
registrations and to reject or suspend any application that does not meet these
requirements.
Accuracy of Information: Sellers must provide accurate and up-to-date information
during registration, including official business name, address, contact details, and any
other information required by the Platform. You agree to promptly update your account
information if there are changes to your business status or contact details. Submission of
false or misleading information may lead to suspension or termination of your seller
account.
Account Security: You are responsible for maintaining the confidentiality and
security of your seller account login credentials. Any activity under your account will be
deemed as your own. If you suspect any unauthorized use of your account, you must notify the
Platform immediately. The Platform will not be liable for any loss or damage arising from
the unauthorized use of your account due to your failure to secure your credentials.
2. Part Requests and Quotations
No Public Product Listings: You do not create open product listings. The Platform
operates on a "Part Request" system. A Part Request is a detailed inquiry from
a buyer for a specific automobile or motorcycle part. You browse these requests and respond
directly with quotations to supply the requested part.
Responding to Part Requests: When you can supply a requested part, you submit a
quotation ("Quote") which should include: (a) A clear description of the part
(including part number or specifications to ensure it matches the request). (b) The price
for the part. (c) The shipping fee or delivery charge (unless bundled into the price). (d)
The name of the chosen carrier or courier service for delivery. (e) An estimated handling
and delivery timeframe. You may also attach photos of the part, though this is not
mandatory.
Binding Offer: Your Quote in response to a Part Request constitutes a binding
offer to sell the specified part under the provided terms. If a buyer accepts a
Quote, an order is formed, and you are obliged to fulfill it at the quoted price. You
must ensure you can supply the exact part in the condition and quantity promised, and at the
stated costs. Do not submit Quotes for parts that you do not have in stock or cannot
source in a timely manner. All Quotes must be made in good faith and comply with
these Seller Terms and applicable law.
Prohibited Quotations: You shall not include offers for any part or item that is
illegal or restricted. Refrain from quoting for parts that are banned or regulated
under Philippine law (see Section 3 for details). If a buyer's request
unintentionally seeks a restricted item, you should decline to quote rather than violate
laws or these Terms.
3. Compliance with Laws and Prohibited Parts
Obligation to Comply with Laws: Sellers must comply with all Philippine laws and
regulations governing the sale, distribution, and export/import (if applicable) of
automobile and motorcycle parts. It is your responsibility to be familiar with and adhere to
national and local laws, including but not limited to consumer protection laws,
import/export regulations, intellectual property laws, and safety standards.
Prohibited and Restricted Items: You shall not quote, offer, or sell any part
that is prohibited or restricted by law. This includes, but is not limited to, the following
examples:
Stolen or Illegally Obtained Parts: Any part known or suspected to be stolen
or taken from a carnapped vehicle is strictly forbidden. The Philippines’ New
Anti-Carnapping Act (Republic Act No. 10883) expressly prohibits the sale of
second-hand parts from carnapped vehicles. Sellers must ensure that all parts
originate from legitimate sources with clear title. It shall be unlawful for any
person or entity to buy and/or sell any second-hand spare parts taken from a
carnapped vehicle – violating this law is a criminal offense and will result
in immediate expulsion from the Platform, in addition to potential legal action.
Contraband or Unlawfully Imported Parts: Parts that are not allowed to be
imported or sold under Philippine customs and trade laws must not be offered. For
instance, used motorcycle parts (except engines) are listed as prohibited
goods for importation under the Customs Modernization and Tariff Act (Republic Act
No. 10863). Sellers should not offer any imported used parts or components that
would violate importation bans or require special permits, unless all legal
requirements have been fulfilled and the necessary licenses or clearances have been
obtained. Offering any part whose import or sale is banned by law (e.g. contraband
parts) is a violation of these Terms.
Regulated Hazardous Items: Any automotive parts containing hazardous
materials (such as certain chemicals, airbags with explosive charges, etc.) that are
regulated by law must only be sold in compliance with applicable safety regulations
and with appropriate handling. If an item is classified as hazardous or requires
special handling or authorization under Philippine law, the Seller is responsible
for obtaining all necessary permits and ensuring legal compliance. Do not sell
items like explosives, firearms or their parts, or other dangerous goods
through the Platform, as these are generally prohibited (for example, importation of
explosives, firearms or parts thereof is prohibited without government authority).
Other Illegal Goods: Sellers must not offer any product that is counterfeit,
infringes on intellectual property rights, or is otherwise unlawful. Items that
violate trademarks, patents, or copyright (e.g. fake or unlicensed replica parts
bearing brand logos) are not allowed. Additionally, any item that is explicitly
prohibited by any Philippine law, regulation, or any competent authority is banned
on the Platform. This includes goods that may not be automotive in nature but could
be requested erroneously by buyers – if it’s illegal offline, it’s illegal on the
Platform.
Law Number for Restricted Items: For reference, Sellers are particularly advised to
familiarize themselves with relevant Philippine laws such as: Republic Act No. 10863
(Customs Modernization and Tariff Act) which provides details on prohibited and restricted
imports (e.g., it bans importation of used motorcycle parts except engines), and Republic
Act No. 10883 (New Anti-Carnapping Act of 2016) which criminalizes the sale of parts from
stolen vehicles. Compliance with these laws and all other applicable regulations is
mandatory. The Platform may update its list of prohibited items from time to time in line
with changes in the law or Platform policies. It is the Seller’s duty to ensure none of
their Quotes or sales violate any such prohibitions.
Consequences of Non-Compliance: Any attempt to sell restricted or illegal parts will
result in immediate action, including possible account suspension or termination (see
Section 8) and reporting to authorities if required by law. The Seller shall bear
sole liability for any legal infractions. The Platform disclaims all responsibility for
illegal conduct by Sellers, and you agree to indemnify the Platform for any losses or
damage resulting from your violation of this Section (see Section 9 on Indemnification).
4. Commission and Fees
Platform Commission: Piyesa (the Platform) will facilitate payments from buyers and,
for each completed order, will charge a commission fee of 9.24% of the total order
amount. This commission is inclusive of Value added tax (VAT) and exclusive of
Creditable Whitholding Tax (CWT) and is calculated on the gross order value,
including the price of the part and any shipping fees charged to the buyer. The commission
will be deducted automatically by the Platform from the buyer's payment.
Breakdown of Fees: The total 9.24% commission consists of two components: (a) a
service or trading fee of 7% for the use of the Platform's marketplace services
(matchmaking, part request system, etc.), and (b) a payment processing fee of 2.24%
for facilitating secure payment collection and disbursement. All these fees are stated
inclusive of Value added tax (VAT) and exclusive of Creditable Whitholding Tax
(CWT), meaning any value-added tax or other sales tax on the fees is already factored into
the percentages above. For example, if the buyer pays P1000 (including shipping) for an
order, the Platform would deduct P92.40 as the total commission (9.24%), and the
remaining P907.60 would be allocated for payout to the Seller.
No Additional Hidden Fees: Other than the commission stated above, the Platform does
not charge Sellers additional listing fees or subscription fees for using the marketplace
(unless otherwise agreed in a separate written agreement or policy). However, Sellers are
responsible for their own costs of doing business (including the cost of the parts, shipping
expenses paid to carriers, any taxes on their income, etc.). The commission is intended to
cover the Platform's service provision and payment facilitation. Any changes to the
commission rate or structure will be communicated to Sellers in advance and, if required, an
amendment to these Terms will be made (see Section 11 on Amendments).
Taxes on Seller's Sales: Each Seller is responsible for compliance with their own tax
obligations relating to the sales made through the Platform. The commission fees described
above are inclusive of the Platform's VAT obligations, but the Seller remains responsible
for any taxes (such as income tax, VAT on the sale of goods, etc.) that apply to
the sale of the part itself. If the law requires the Platform to withhold any taxes
from the payout, the Platform will deduct such amounts and remit them to the tax
authorities, and provide the Seller with documentation of the withholding. Sellers should
consult their tax advisors regarding the proper treatment of sales and revenues obtained via
the Platform.
5. Orders and Shipping Obligations
Formation of Order: An "order" is created when a buyer accepts a Seller's
Quote. The buyer is charged the total (part price + shipping fee). The Seller is notified,
and this forms a "binding agreement". The Seller must honor the price and terms.
Cancellations by the Seller are not allowed except for force majeure or Platform
approval, and failure to fulfill orders may result in penalties or account suspension.
Seller's Responsibility for Shipping: The Seller is responsible for packing and
shipping the part. Sellers can choose any reputable carrier or courier
service. The carrier name and shipping cost must be disclosed in the Quote.
The Seller must use the specified carrier (or one of equal/better service). The Seller bears
the initial shipping cost (covered by the buyer's shipping fee). Sellers should not demand
any additional shipping payment beyond what was agreed.
Dispatch Timeframe: Sellers are expected to ship out the product by the next
business day (i.e., ship within one business day). For example: Monday order
confirmed, hand over to courier by Tuesday. Prompt shipment is important. Sellers must
inform the buyer and Platform immediately of unexpected delays (e.g., stock issues,
logistics problems) and make reasonable efforts to dispatch. The Platform may cancel orders
with a full refund if the Seller fails to ship on time without a valid reason.
Shipping Documentation and Tracking: The Seller should obtain proof of shipment
(tracking number or receipt) and provide the tracking information to the buyer via
the Platform. This allows monitoring of delivery progress. If no tracking is provided, the
Seller must communicate an estimated delivery date and confirm delivery. Risk of loss
in transit is borne by the Seller until delivery is confirmed. Sellers should use reliable
shipping services and consider insurance for high-value parts.
6. Returns and Refunds
Return Period: To uphold customer satisfaction and comply with consumer protection
principles, Sellers are required to accept returns for any reason within fifteen (15)
calendar days from the date the product was delivered to the buyer. This means that
a buyer has up to 15 days after receiving the part to initiate a return, no questions
asked. (Note: This return period is aligned with common e-commerce practices and
exceeds any minimum requirements under Philippine law for returns; it applies regardless of
whether the item is defective or simply not needed by the buyer.)
Return Authorization Process: Before sending any product back, the buyer must submit
a Return Request through the Platform's system. The request will include the reason
for return (if the buyer chooses to provide one) and may include photos or evidence of the
item's condition. The Platform will then notify the Seller of the Return Request. As a
Seller, you are expected to respond to the Return Request promptly. You may ask the
buyer for additional details or photos of the product if not already provided,
especially to assess the condition of the item (e.g., to confirm if an alleged defect or
damage is present).
Seller's Acceptance or Refusal: Upon reviewing the Return Request, the Seller has the
right to either accept or refuse the return based on the information provided. You
should exercise this right in good faith. For example: if a buyer simply changed their mind
within the 15-day window, you are still expected to accept the return (since returns are
allowed for any reason in that period). If the buyer damaged the item through misuse and
then wants to return it, you might have grounds to refuse or negotiate a partial
refund. If you decide to refuse a return, you should provide a clear justification to
the buyer (via the Platform's messaging or return response). Acceptable reasons to deny a
return might include: the return request was made outside the 15-day window, or the item has
been significantly used or altered by the buyer in a way that voids the return policy.
Return Shipping Costs: When approving a return, the Seller should state whether you
will cover the return shipping cost or if the buyer will be responsible for it. This
may depend on the reason for return. Examples: If the return is due to Seller's error
or a defective part, the Seller is encouraged to cover return shipping. If the return is
purely buyer's change of mind, the Seller may ask the buyer to shoulder the return shipping.
These details can be communicated through the Platform during the return authorization. If
the Seller agrees to cover return shipping, you can either provide a return shipping
label/prepaid courier pickup, or reimburse the buyer for reasonable return postage costs. If
you do not explicitly agree to cover it, it is assumed the buyer will arrange and pay for
returning the item.
Condition of Returned Items: The Seller has the right to receive the product back
before issuing a refund (unless the parties mutually agree otherwise). The buyer should send
back the item in as close to the original condition as possible, including any accessories
or documentation that came with it. Once the Seller receives the returned part, you should
inspect it immediately. Provided that the returned item is verified to be the same item sent
and in acceptable condition (taking into account any issues reported), you must approve
the refund promptly. The Platform will then process the refund to the buyer on your
behalf (deducting the amount from your pending payout or asking you to return funds if
already paid out).
Dispute Mediation: In case of any disagreement regarding a return - for example, if a
buyer believes a return was unfairly refused, or if there's a dispute over who should pay
return shipping, or the condition of the returned item - either party may escalate the
issue to Piyesa for mediation. The Platform will review the communications, evidence
(including photos) and the circumstances in line with these Terms and principles of
fairness. Piyesa may propose a resolution to the dispute, such as requiring the
Seller to accept a return or asking the buyer to bear certain costs, etc. Both Seller and
buyer agree to cooperate in good faith with Piyesa's mediation process. While the Platform's
mediation decision is aimed to be impartial and in accordance with these Terms, if either
party is unsatisfied, they still retain the right to seek legal remedies outside the
Platform. However, please note: Piyesa reserves the right to make a final decision on
the platform-related outcomes (like whether to issue a refund through the Platform) to
maintain trust and consistency for users. In extreme cases, the Platform may refund the
buyer and charge the Seller (or withhold from the Seller's payout) if the evidence strongly
supports the buyer's claim and the Seller refuses to cooperate.
No Payout on Returned Orders: If a return is accepted and a refund is issued to the
buyer, the Seller will not receive payout for that order (or if already received, the
Seller must return the funds). The Platform's commission on a refunded order may also
be reversed (the buyer will get the full paid amount back, which includes the commission
portion). Returns are part of the Platform's service to buyers, and Sellers should factor in
this return policy when engaging in transactions.
7. Payout Terms to Sellers
Holding Period: The Platform implements a payout holding period to ensure transaction
completion and account for the return window. Funds for an order become eligible for payout
to the Seller 30 days after the item has been marked as shipped (or dispatched) in
the Platform's system. This is contingent on no return request or dispute being pending for
that order. This period roughly corresponds to a 15-day return period plus additional buffer
time for return shipping or claims resolution. It also guards against payment reversals or
chargebacks.
No Pending Returns Requirement: If a buyer files a return request or raises a dispute
before the 30-day payout date, the payout for that specific order will be
temporarily put on hold. Funds will not be released until the issue is resolved. If
the dispute is resolved in favor of the buyer (e.g., return and refund completed), the
Seller will not receive those funds. If the dispute is resolved in favor of the Seller
(e.g., buyer's return declined or buyer keeps item), the payout will be released promptly
after resolution. The 30-day timer may be adjusted in such cases. Essentially, payout occurs
only when there are no active or unresolved claims against the order.
Payout Method: Sellers must provide valid payout details (e.g., bank account
information or other supported payment processor details) to receive funds. Piyesa will
initiate the payout to the Seller's designated account within a reasonable time after the
30-day clearing period, typically on the next scheduled payout cycle. Payouts may be
batched for efficiency if multiple orders clear on similar dates. Exact timing may depend on
banking processes. The Platform will notify the seller when a payout has been processed. Any
transfer fees charged by banks or payment providers for receiving the payout (if applicable)
are the responsibility of the Seller, unless otherwise stated.
Commission Deduction and Adjustments: A 7.24% commission (referenced as
Section 4) is automatically deducted before the payout amount is calculated. The
payout amount for each order is the order total minus the Platform commission and
minus any other adjusted amounts (e.g., refunds, or withheld amounts due to disputes). In
case an order's payout was released and later a chargeback or payment reversal occurs (e.g.,
fraudulent credit card use), the Platform will notify the Seller and may deduct the
relevant amount from the Seller's future payouts or require reimbursement, as the
transaction did not successfully complete. The Platform strives to prevent such occurrences.
8. Account Suspension and Termination
Grounds for Suspension/Termination: Piyesa values trust and safety in its
marketplace. We reserve the right to suspend (temporarily block) or terminate
(permanently close) a Seller’s account if we suspect any behavior that undermines
buyer trust, violates these Terms, or is potentially unlawful. Grounds for suspension or
termination include, but are not limited to:
Suspected Fraud or Scams: Any indication that a Seller is engaging in
fraudulent activities, scamming buyers (e.g., taking payment without intending to
ship, consistently providing false tracking, sending counterfeit or significantly
not-as-described parts, etc.) will result in swift action. Even suspected scamming
(such as multiple reports of non-delivery) can lead to account freeze while
investigation is ongoing.
Excessive Negative Feedback: The Platform monitors seller performance. A
pattern of numerous bad reviews or complaints from buyers can indicate issues
with the Seller’s service or products. If a Seller accumulates a high number of
negative ratings, cancellation of orders, or return disputes, the Platform may issue
warnings or place the account under review. Failure to improve or address customer
satisfaction issues can result in suspension or termination to protect future
buyers.
Violation of Eligibility or Legitimacy Doubts: If at any time the Platform
has reason to doubt that you remain a legitimately registered business (for example,
your business permit expires or is revoked, or information comes to light that the
company is dissolved, or not actually the entity you represented it to be), we may
suspend the account pending verification. Only registered companies are
allowed, as stated in Section 1. Similarly, if a Seller refuses to provide
updated documentation when requested for verification checks, the account may be
deactivated. This ensures that all sellers on the Platform are bona fide businesses
as required.
Selling Prohibited Items or Law Violations: Any violation of Section 3
(Compliance with Laws and Prohibited Parts), such as attempting to sell restricted
parts, engaging in IP infringement, or any unlawful transaction, is grounds for
immediate termination. The Platform may also report such activities to law
enforcement or regulatory authorities as appropriate. Our top priority is to
protect buyers and ensure the Platform’s compliance with the law.
Other Harmful Behavior: Any conduct that, in the Platform’s judgment, poses a
risk to the rights, safety, or experience of buyers or other users can result in
suspension/termination. This includes harassment or abuse of buyers or staff, misuse
of the Platform (such as attempting to take transactions off-platform to avoid
fees), manipulating ratings or feedback, or any action that could damage the
Platform’s reputation or operations.
Procedure for Suspension/Termination: In most cases (except egregious violations),
the Platform will attempt to notify the Seller of issues and may provide an opportunity to
explain or correct the problem. For example, we may send warning emails or performance
notices outlining the issue and required improvement. However, the Platform reserves the
right to suspend or terminate immediately and without prior notice if we believe
it’s necessary to protect buyers or the Platform from harm, fraud, or legal liability. Once
an account is suspended, the Seller will not be able to initiate new sales; if terminated,
the Seller’s access to the account will be revoked entirely.
Effect on Pending Transactions: If a Seller’s account is suspended or terminated, the
Platform at its discretion may hold any pending payouts to the Seller until any
investigations are concluded and/or until the lapse of the return period for the Seller’s
delivered orders. This is to ensure that funds are available to satisfy any buyer refunds or
claims that might surface. If ultimately the account is terminated for cause, the Seller’s
remaining balance (after resolving any refunds or liabilities) will be released to the
Seller if appropriate. If the investigation finds evidence of fraud or significant buyer
harm, the Platform may decide to refund buyers from the Seller’s held funds and/or seek
other remedies. The Seller will be informed of the outcome where possible.
Appeal and Reinstatement: If you believe your account was wrongfully suspended or
terminated, you may contact the Platform’s support or legal department to appeal the
decision. Provide any evidence or explanations that might justify a reversal of the action.
The Platform will review appeals in good faith, but its decision on reinstatement shall be
final. There is no guarantee of reactivation; once trust is severely broken, the Platform is
not obliged to restore access.
9. Indemnification
Seller's Agreement to Indemnify: The Seller hereby agrees to indemnify, defend,
and hold harmless Piyesa, its owners, affiliates, officers, directors, employees,
and agents (collectively, the "Indemnified Parties"), from and against any and all
claims, demands, causes of action, liabilities, losses, damages, judgments, or expenses
(including reasonable attorneys' fees and court costs) arising out of or related to: (a) any
breach by the Seller of these Seller Terms or of any representation, warranty, or covenant
herein; (b) any violation of law or regulation by the Seller in connection with its
use of the Platform or its sales (including, without limitation, selling restricted or
illegal goods, or violating consumer protection laws); (c) any infringement of
intellectual property or other rights of third parties by the Seller's listings or
products (for example, if you sell counterfeit parts or use another party's trademarks
without authorization, or upload images/content that you have no right to use); and (d) any
injury, death, or property damage caused by a product that the Seller sold through
the Platform, or any product liability claim relating to the Seller's goods.
Scope of Indemnity: This indemnification obligation means that if any third party
(including a buyer or government agency) makes a claim or initiates legal action against any
of the Indemnified Parties due to the Seller's actions or products, the Seller will cover
all costs and damages for which the Indemnified Parties are held liable or incur, and will
provide a defense (by counsel acceptable to the Platform) for the Indemnified Parties at the
Seller's expense. The Platform will promptly notify the Seller of any such claim and may, at
its discretion, allow the Seller to handle the defense, provided that the Seller acts
promptly and in good faith to defend. However, the Platform reserves the right to
participate in the defense and approve any settlement that would affect the Platform's
rights or obligations.
Continuing Obligation: This indemnity survives any suspension, termination, or
expiration of the Seller's account or use of the Platform. In other words, even if you stop
using the Platform or your account is closed, you continue to be responsible for
indemnifying the Indemnified Parties for any issues that arose during the period when you
were using the Platform as a Seller. This section is intended to shift appropriate
responsibility to Sellers for their own actions and products, as is customary in
marketplace arrangements.
10. Limitation of Liability
No Liability for Platform as a Marketplace: Piyesa is an online platform connecting
buyers and sellers, and is not the seller of any parts. Piyesa shall not be liable
for any indirect, incidental, special, consequential, or exemplary damages arising
from platform use or transactions. This includes loss of profits, business, data, or
goodwill, even if Piyesa was advised of such damages. Piyesa's role is limited to providing
technology and services; the ultimate responsibility for the products and their sale lies
with the Seller.
Limit on Direct Damages: Piyesa's total aggregate liability to the Seller for any
claim from a single transaction or incident is limited to the amount of commission fees
that Piyesa earned from the Seller on the transaction giving rise to the claim, or PHP
5,000, whichever is lower. In aggregate, Piyesa's total liability for all claims in
a given year shall not exceed the total commissions earned by Piyesa from that Seller's
transactions in that year. These limitations apply regardless of whether the claim is based
on contract, tort, warranty, strict liability, or any other legal theory.
No Liability for Product Issues: Piyesa shall not be liable for any injury, harm,
or damage caused by the parts sold by the Seller through the Platform. The Seller is
solely responsible for the safety, quality, and compliance of their products.
Example: If a part malfunctions and causes damage or injury, the claim lies solely
against the Seller. The Seller agrees not to hold Piyesa responsible and will
indemnify Piyesa if a third party tries to hold Piyesa liable (as described in Section 9).
This allocation of responsibility is fundamental because the Platform does not manufacture,
inspect, or certify the parts – the Seller does.
No Warranties by Platform: Piyesa provides the Platform and related services on an
"as is" and "as available" basis, without any warranties or guarantees of any
kind. While we strive for uptime, security, and accurate functioning, we do not warrant that
the Platform will be uninterrupted or error-free, or that transactions will always
complete without issue. Piyesa disclaims any implied warranties, including any warranties of
merchantability, fitness for a particular purpose, and non-infringement, to the extent
allowed by law. This disclaimer does not affect the Seller's own obligations to buyers (for
example, any warranties you choose to offer on your products are between you and the buyer).
Legal Limitations: Some jurisdictions do not allow certain exclusions or limitations
of liability. If Philippine law (or other applicable law, if determined by a court) does not
allow the exclusion of certain damages or the limitation of liability as set forth in this
Section, then such exclusions and limitations shall apply to the maximum extent permitted by
law, and any remaining liability will be limited to the smallest amount permissible. Nothing
in these Terms is intended to limit or exclude any liability that cannot be limited or
excluded under applicable law (for example, certain violations of consumer protection laws
might carry statutory liabilities that cannot be waived).
11. General Provisions
Governing Law: These Seller Terms and any disputes arising out of or relating to
these Terms or the use of the Platform shall be governed by the laws of the Republic of
the Philippines. Any lawsuit or legal proceeding shall be brought exclusively in the
appropriate courts of the Philippines, with venue in the courts of Metro Manila,
Philippines, as the principal place of business of Piyesa. (If you are a foreign
entity selling into the Philippines, you still agree to Philippine law and jurisdiction for
consistency and compliance purposes.)
Relationship of Parties: These Seller Terms do not create any agency, partnership,
joint venture, or employment relationship between Piyesa and the Seller. The Seller is
operating as an independent business using the Platform as a service. Neither party
has authority to bind the other outside the scope of these Terms. The Seller cannot
represent to any third party that they are an agent or representative of Piyesa, and
vice versa. The Seller bears sole responsibility for their employees, subcontractors, and
operations. These Terms do not create any exclusive relationship; Sellers are free to sell
products through other channels, and Piyesa may offer the Platform to other sellers and
partners.
Changes and Amendments: The Platform reserves the right to modify or amend
these Seller Terms at any time. Changes will be effective only after the Platform
provides notice via appropriate means (email, in-dashboard announcement, or updated posted
Terms). Reasonable advance notice of material changes will be given. If you do not agree
with a change, you must cease using the Platform as a Seller before the effective date of
the new terms and may request account closure. Continued use or failure to object
constitutes acceptance of the changes. No amendment or modification by the Seller will be
binding on Piyesa unless expressly agreed in writing by an authorized representative of
Piyesa.
Severability: If any provision of these Seller Terms is held to be invalid, illegal,
or unenforceable by a court of competent jurisdiction, that provision shall be
severed from the Terms and the remaining provisions shall remain in full force and
effect. The parties shall endeavor in good faith to replace an invalid or unenforceable
provision with a valid one that, as closely as possible, achieves the intended commercial
result of the original provision.
No Waiver: The failure of the Platform to enforce any right or provision of these
Terms shall not constitute a waiver of such right or provision. Any waiver of any provision
of these Terms will be effective only if in writing and signed by an authorized
representative of Piyesa. A waiver of any term in one instance shall not constitute a waiver
of that term for the future.
Entire Agreement: These Seller Terms (along with any Platform User Agreement
or general Terms of Use, and any policies, guidelines, or annexes expressly incorporated by
reference) constitute the entire agreement between Piyesa and the Seller regarding
the subject matter hereof, and supersede any prior or contemporaneous understandings,
agreements, negotiations, or communications, whether written or oral, relating to the same.
The Seller acknowledges that in entering into this agreement, it has not relied on any
statement, representation, or warranty that is not expressly set out in these Terms.
By agreeing to these Seller Terms and continuing to use the Piyesa Platform as a Seller, you
affirm that you have read this document carefully and understood its contents. You agree to
comply with all the requirements and policies outlined above. Violation of these terms can
result in actions described in Section 8, including termination of your selling privileges,
and may also subject you to legal liabilities under applicable law.
